Terms of Service

These Terms of Service govern your use of the Wexio platform. Please read them carefully before using our services.

These are the Terms of Service ("Terms") governing the use of the Wexio platform and the agreement that operates between you (the "User") and Wexio LLC, a Delaware limited liability company (the "Company", "We", "Us", or "Our"). These Terms set out the rights and obligations of all Users regarding the use of Wexio.

Your access to and use of Wexio is conditioned on your acceptance of and compliance with these Terms. By accessing or using Wexio, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the platform. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Your use of the platform is also conditioned on your acceptance of our Privacy Policy, which describes our policies on the collection, use, and disclosure of your personal information in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws. Service Description

"Wexio" is a multi-channel customer communication platform that enables businesses to manage conversations across messaging channels. "Wexio" refers to:

The website at wexio.io, including all subdomains and related sites
Web and mobile applications provided by Wexio
Application Program Interfaces (API) and developer tools
Inbox - unified multi-channel conversation management across WhatsApp, Telegram, Instagram, Viber, and other supported messaging channels
Flow - visual workflow automation builder for customer journeys and business process automation
AI - intelligent response assistance, conversation summarisation, sentiment analysis, and workflow automation powered by artificial intelligence

"Wexio" also refers to the service, any applications, content files, source code, scripts, instruction sets, or software included as part of the Service, as well as any related documentation, updates, and derivative works.

User Accounts

To use certain features of Wexio, you must register for an account. Wexio uses third-party identity providers exclusively for authentication. You may sign up and log in only through Google, GitHub, or Microsoft (Hotmail/Outlook). By creating and maintaining your account, you agree to the following:

You must be at least 16 years old to create an account. By registering, you represent and warrant that you meet this age requirement.
You must provide accurate, current, and complete information during registration and keep your account information updated at all times.
Unless explicitly permitted, each User must register only one account. Accounts registered by bots or any other automated methods are not permitted.
You are responsible for maintaining the security of your account. Since authentication is handled by third-party providers, you must safeguard access to your identity provider account (Google, GitHub, or Microsoft).
You are responsible for all activities that occur under your account, whether or not you authorised them. You must notify us immediately of any unauthorised use of your account.

Account Suspension

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to other Users or to the integrity of our platform. The suspension or deletion of accounts due to causes attributable to the User does not exempt the User from paying any applicable fees.

You may delete your account at any time through your account settings. Upon deletion, we will remove your data in accordance with our Privacy Policy and applicable data retention requirements. Certain data may be retained as required by law.

Content & Intellectual Property

The Wexio platform, including its design, features, logos, brand elements, and all associated documentation, is the exclusive intellectual property of Wexio LLC and is protected by copyright, trademark, patent, and other intellectual property laws of the United States and international jurisdictions. All trademarks, service marks, trade names, illustrations, images, and logos appearing in connection with Wexio are and remain the exclusive property of Wexio LLC.

You retain all ownership rights to content you submit, upload, or transmit through Wexio ("User Content"). By using the platform, you grant us a limited, non-exclusive, worldwide, royalty-free licence to process, store, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Service. Users are solely liable for any content they upload, post, share, or provide through Wexio.

You may not copy, modify, distribute, sell, lease, sublicence, resell, or create derivative works based on any part of the platform or its content without our express prior written permission. You may not reverse engineer, decompile, or attempt to extract the source code of the platform, except to the extent that such restriction is expressly prohibited by applicable law.

Software Licence

Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-sublicensable and non-transferable licence to use the software and any technical means embedded in the Service within the scope and for the purposes of Wexio. This licence does not grant you any rights to access, usage, or disclosure of the original source code. All rights and licence grants terminate upon any termination or expiration of this agreement.

Content Backups

While we maintain regular backups of the platform data, we do not guarantee there will be no loss or corruption of data. You are solely responsible for maintaining your own backup of User Content in a location independent of the Service. We shall not be liable for any loss, corruption, or unavailability of User Content.

Acceptable Use

You agree to use Wexio only for lawful purposes and in accordance with these Terms. You must comply with all applicable local, national, and international laws and regulations when using the platform. You are solely responsible for making sure that your use of Wexio violates no applicable law, regulation, or third-party rights.

Prohibited Activities

Sending unsolicited messages (spam) or bulk messaging in violation of applicable anti-spam laws (including CAN-SPAM, GDPR, and ePrivacy Directive)
Using the platform for illegal activities or to facilitate illegal conduct of any kind
Transmitting harmful, abusive, defamatory, obscene, or misleading content
Impersonating any person, entity, or organisation, or misrepresenting your affiliation with any person or entity
Interfering with, disrupting, or placing an undue burden on the platform's infrastructure, servers, networks, or other Users' access
Scraping, crawling, or using automated tools (bots, spiders, or similar means) to extract data from the platform without prior written authorisation
Attempting to gain unauthorised access to any part of the platform, other accounts, computer systems, or networks connected to the platform
Using the platform to transmit viruses, malware, or any other harmful code
Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of Wexio without our express prior written permission

We enforce fair use policies on API calls, message volume, storage, and other platform resources. Excessive usage beyond your plan limits may result in throttling, temporary suspension, or additional charges. We reserve the right to enforce limits to ensure the quality of service for all Users. Details are set out in your plan documentation.

Subscription & Payment

Wexio offers subscription-based plans. By subscribing to a paid plan, you agree to the following payment terms:

Billing: Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. All fees are quoted in USD unless otherwise stated in the applicable order form.

Price Changes: We may adjust pricing with at least 30 days' prior written notice. Continued use of the platform after a price change takes effect constitutes your acceptance of the new pricing.

Free Trial: We may offer a free trial period at our discretion. The trial period shall end automatically and shall not convert into any paid product unless you actively purchase a paid plan. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan at the then-current rate.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period at the then-current rate, unless you cancel before the renewal date. Recurring subscriptions may be terminated at any time by cancelling through your account settings.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Subscriptions may not be terminated prematurely and shall run out upon expiration of the subscription term.

Refunds: All payments are non-refundable except as expressly set forth herein or as required by applicable law. Exceptions may be considered on a case-by-case basis at our sole discretion.

Taxes: All prices are exclusive of applicable taxes (including VAT, GST, and sales tax). You are responsible for all taxes associated with your subscription, except for taxes based on our net income.

Third-Party Fees: You are solely responsible for any third-party fees incurred through the use of messaging channels integrated with the platform (e.g., WhatsApp Business API conversation fees, carrier surcharges). Such charges are exclusive of Wexio fees, whether paid directly to the third party or resold through the platform.

Late Payment: If payment fails or is overdue, we may suspend access to your account after providing reasonable notice and a grace period of at least 7 days. Continued non-payment may result in account termination.

Additional Charges: You may incur additional charges if usage over the billing period exceeds your subscription's limits. You agree to pay any additional charges incurred at the end of each billing period.

API Usage

Access to the Wexio API is subject to rate limits, usage quotas, and policies as documented in our API documentation. API keys and tokens are confidential credentials and must not be shared, published, or embedded in client-side code. You are responsible for all activity conducted through your API credentials, including use of the API through third-party products or services that access Wexio. Misuse of the API, including but not limited to exceeding rate limits, circumventing security measures, or using the API for purposes not contemplated by these Terms, may result in temporary or permanent revocation of API access. We reserve the right to modify, deprecate, or discontinue API endpoints with reasonable prior notice. The Company bears no responsibility for any damages or losses resulting from your use of third-party products or services that access data through the API.

External Resources & Third-Party Services

Through Wexio you may have access to external resources, integrations, and services provided by third parties (e.g., messaging platforms, AI providers, payment processors). We have no control over such resources and are not responsible for their content, availability, or practices. Conditions applicable to third-party resources are governed by each respective third party's own terms and conditions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WEXIO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM WEXIO OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

To the maximum extent permitted by applicable law, Wexio LLC and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses, resulting from your use of or inability to use the platform, regardless of the theory of liability (whether in contract, tort, strict liability, or otherwise) and whether or not Wexio has been advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising from or related to these Terms or your use of the platform shall not exceed the greater of (a) the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).

Indemnification

You agree to indemnify, defend, and hold harmless Wexio LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; or (e) any content submitted from your account.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore the above limitations or exclusions may not apply to you. The disclaimers, exclusions, and limitations of liability under these Terms shall be applied to the greatest extent enforceable under applicable law.

Changes to Terms

We reserve the right to amend or modify these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new Terms taking effect by posting a prominent notice on the platform and/or by sending email notification to the address associated with your account. What constitutes a material change will be determined at our sole discretion. Such changes will only affect the relationship with the User for the future.

Your continued use of the platform after the effective date of any revised Terms constitutes your acceptance of and agreement to be bound by the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the platform immediately. The applicable previous version will govern the relationship prior to your acceptance.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

General Provisions

No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Wexio.

Service Interruption: We may perform scheduled maintenance or emergency updates that temporarily interrupt service availability. We will provide reasonable advance notice of scheduled maintenance when practicable. The Service might also be unavailable due to reasons outside our reasonable control, such as force majeure events. We shall not be liable for any losses or damages caused by temporary service interruptions.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section shall be void. We may freely assign our rights and obligations under these Terms without restriction or notification.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or agreements expressly incorporated by reference herein, constitute the entire agreement between you and Wexio LLC with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

Authoritative Version: These Terms are drawn up and revised in English. Other language versions, if any, are provided for information purposes only. In the event of any inconsistency between different linguistic versions, the English version shall always prevail.
